Welcome to PayRazo. These Terms & Conditions (“Terms”) govern your access to and use of the PayRazo website, platform, products, and related services (“Services”).

By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree, you should not use the Services.

1. About PayRazo

PayRazo is a technology platform that facilitates payment processing and related infrastructure services through licensed financial institutions, payment processors, and third-party providers.

PayRazo is not a bank, card network, money transmitter, or financial institution unless explicitly stated otherwise.

Services may be subject to eligibility, underwriting, geographic availability, and compliance approval requirements.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old
  • Have authority to act on behalf of a business entity
  • Provide accurate and complete information
  • Comply with all applicable laws and regulations

PayRazo may refuse or limit Services at its discretion based on risk, compliance, or operational considerations.

3. Services

PayRazo may provide access to:

  • Payment gateway infrastructure
  • Payment routing technology
  • ACH and card payment integrations
  • Risk management tools
  • Chargeback management tools
  • Reporting and analytics
  • Related payment support services

Certain Services may be provided by third-party financial institutions or processing partners.

Availability of specific payment methods, features, or processing capabilities may vary by jurisdiction, business model, and underwriting approval.

4. Merchant Responsibilities

You agree to:

  • Provide truthful and accurate business information
  • Maintain updated account and contact details
  • Comply with applicable laws, card network rules, and industry requirements
  • Obtain all required customer consents and authorizations
  • Deliver goods and services as advertised
  • Maintain appropriate refund and customer support practices
  • Prevent unauthorized, fraudulent, or illegal activity

You are solely responsible for your products, services, customer interactions, and business operations.

5. Restricted Businesses & Prohibited Activities

The following businesses or activities may be restricted or prohibited:

  • Illegal products or services
  • Counterfeit goods
  • Unlicensed financial services
  • Gambling where prohibited
  • Fraudulent or deceptive practices
  • Pyramid schemes or multi-level marketing abuses
  • Adult content prohibited by acquiring partners
  • Weapons or controlled substances
  • Sanctioned or embargoed jurisdictions
  • Activities that violate card network rules or applicable laws

PayRazo reserves the right to update restricted business categories at any time.

6. Compliance & Verification Reviews

PayRazo and its financial partners may conduct compliance, underwriting, identity verification, KYC (Know Your Customer), AML (Anti-Money Laundering), and risk reviews.

You agree to provide requested documentation, including but not limited to:

  • Business registration documents
  • Government-issued identification
  • Bank statements
  • Processing history
  • Proof of operations
  • Ownership information

Failure to provide requested information may result in delayed onboarding, account restrictions, or termination of Services.

7. Chargebacks & Disputes

You are responsible for all chargebacks, payment disputes, reversals, refunds, fines, penalties, and related costs associated with your transactions.

PayRazo may assist with chargeback management tools or dispute workflows; however, PayRazo does not guarantee dispute outcomes or chargeback reduction results.

Excessive chargeback activity may result in:

  • Additional monitoring
  • Processing limitations
  • Reserve requirements
  • Suspension or termination of Services

8. Fees & Pricing

Pricing may vary based on:

  • Business model
  • Industry type
  • Processing volume
  • Geographic region
  • Risk profile
  • Payment methods used

All applicable fees, reserves, rolling reserves, processing charges, or related costs will be communicated separately through onboarding materials, agreements, or account documentation.

PayRazo reserves the right to modify pricing with reasonable notice where permitted.

9. Refund Policy

Merchants are responsible for maintaining clear refund and return policies for their customers.

Refund obligations related to goods or services sold by merchants remain the sole responsibility of the merchant.

PayRazo is not responsible for disputes between merchants and their customers regarding products, services, fulfillment, or refunds.

10. Account Suspension & Termination

PayRazo may suspend, restrict, hold funds, or terminate access to Services at its discretion where necessary to:

  • Comply with legal obligations
  • Address risk or fraud concerns
  • Respond to excessive chargebacks
  • Enforce these Terms
  • Protect the integrity of the platform
  • Comply with partner or regulatory requirements

Merchants may terminate use of the Services by providing written notice, subject to any outstanding obligations or ongoing investigations.

11. Intellectual Property

All content, trademarks, logos, software, branding, and materials associated with PayRazo remain the property of PayRazo or its licensors.

You may not copy, reproduce, modify, distribute, or misuse PayRazo intellectual property without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by law, PayRazo shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits or revenue
  • Business interruption
  • Data loss
  • Payment delays
  • Banking or processor interruptions
  • Third-party service failures

PayRazo provides Services on an “as available” and “as is” basis without warranties of uninterrupted availability or guaranteed processing outcomes.

13. Indemnification

You agree to indemnify and hold harmless PayRazo, its affiliates, partners, officers, employees, and service providers from claims, liabilities, losses, damages, penalties, and expenses arising from:

  • Your business activities
  • Violation of these Terms
  • Violation of applicable laws
  • Customer disputes
  • Fraudulent or unauthorized activity

14. Third-Party Providers

Certain Services may rely on third-party financial institutions, processors, banking partners, or technology providers.

PayRazo is not responsible for interruptions, decisions, or actions taken by third-party providers.

Use of third-party services may also be subject to separate agreements or policies.

15. Privacy

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge and agree to the collection and use of information as described in the Privacy Policy.

16. Modifications to These Terms

PayRazo may update or modify these Terms at any time.

Updated versions will be posted on this page with a revised “Last Updated” date.

Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Florida, USA.
